Please read this Terms of Service (the “Agreement”) very carefully, as it constitutes a binding agreement between you and Heraclea Food Co., Inc (“Heraclea”) that includes important information regarding your legal rights, remedies, and obligations. 

IMPORTANT NOTICE REGARDING ARBITRATION: This Terms of Service contains an agreement, between you and Heraclea, to resolve any dispute between you and Heraclea through binding and final arbitration rather than in court, where (1) you may only pursue claims against Heraclea on an individual basis and not as a plaintiff or class member in any class or representative action or proceeding; (2) you may only seek relief (including monetary damages, injunctive and declaratory relief) on an individual basis; and (3) you may not bring any claims you have against us that have been resolved by a jury or in a court of law.

This website is operated by Heraclea Food Co., Inc (“Heraclea”). Throughout the site, the terms “we”, “us” and “our” refer to Heraclea. Heraclea offers this website, including all information, tools and Services available from this site to you, the user, conditioned upon your acceptance of all terms, conditions, policies and notices stated here.

By visiting our site and/ or purchasing something from us, you engage in our “Service” and agree to be bound by the following terms and conditions (“Terms of Service”, “Terms”), including those additional terms and conditions and policies referenced herein and/or available by hyperlink. These Terms of Service apply  to all users of the site, including without limitation users who are browsers, vendors, customers, merchants, and/ or contributors of content.

Our store is hosted on Shopify Inc. They provide us with the online e-commerce platform that allows us to sell our products and Services to you.

By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state or province of residence, or that you are the age of majority in your state or province of residence and you have given us your consent to allow any of your minor dependents to use this site.

We have made every effort to display as accurately as possible the colors and images of our products that appear at the store. We cannot guarantee that your computer monitor's display of any color will be accurate.

We reserve the right, but are not obligated, to limit the sales of our products or Services to any person, geographic region or jurisdiction. We may exercise this right on a case-by-case basis. We reserve the right to limit the quantities of any products or Services that we offer. All descriptions of products or product pricing are subject to change at anytime without notice, at the sole discretion of us. We reserve the right to discontinue any product at any time. Any offer for any product or service made on this site is void where prohibited.

We do not warrant that the quality of any products, Services, information, or other material purchased or obtained by you will meet your expectations, or that any errors in the Service will be corrected.

SECTION 6 - ACCURACY OF BILLING AND ACCOUNT INFORMATION

We reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event that we make a change to or cancel an order, we may attempt to notify you by contacting the e-mail and/or billing address/phone number provided at the time the order was made. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers or distributors.

You agree to provide current, complete and accurate purchase and account information for all purchases made at our store. You agree to promptly update your account and other information, including your email address and credit card numbers and expiration dates, so that we can complete your transactions and contact you as needed.

You agree that your comments will not violate any right of any third-party, including copyright, trademark, privacy, personality or other personal or proprietary right. You further agree that your comments will not contain libelous or otherwise unlawful, abusive or obscene material, or contain any computer virus or other malware that could in any way affect the operation of the Service or any related website. You may not use a false e-mail address, pretend to be someone other than yourself, or otherwise mislead us or third-parties as to the origin of any comments. You are solely responsible for any comments you make and their accuracy. We take no responsibility and assume no liability for any comments posted by you or any third-party.

We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel orders if any information in the Service or on any related website is inaccurate at any time without prior notice (including after you have submitted your order).

We undertake no obligation to update, amend or clarify information in the Service or on any related website, including without limitation, pricing information, except as required by law. SECTION 13 - DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY

We do not guarantee, represent or warrant that your use of our service will be uninterrupted, timely, secure or error-free.

We do not warrant that the results that may be obtained from the use of the service will be accurate or reliable.

You agree that from time to time we may remove the service for indefinite periods of time or cancel the service at any time, without notice to you.

You expressly agree that your use of, or inability to use, the service is at your sole risk. The service and all products and Services delivered to you through the service are (except as expressly stated by us) provided 'as is' and 'as available' for your use, without any representation, warranties or conditions of any kind, either express or implied, including all implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement.

In no case shall Heraclea Food Co., Inc, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the service or any products procured using the service, or for any other claim related in any way to your use of the service or any product, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the service or any content (or product) posted, transmitted, or otherwise made available via the service, even if advised of their possibility.

Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, our liability shall be limited to the maximum extent permitted by law.

SECTION 14 - INDEMNIFICATION

You agree to indemnify, defend and hold harmless Heraclea Food Co., Inc and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.

SECTION 15 - SEVERABILITY

In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions.

SECTION 16 - TERMINATION

The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes.

These Terms of Service are effective unless and until terminated by either you or us. You may terminate these Terms of Service at any time by notifying us that you no longer wish to use our Services, or when you cease using our site.

If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms of Service, we also may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny you access to our Services (or any part thereof).

SECTION 17 - ENTIRE AGREEMENT

The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.

These Terms of Service and any policies or operating rules posted by us on this site or in respect to The Service constitutes the entire agreement and understanding between you and us and govern your use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Service).

Any ambiguities in the interpretation of these Terms of Service shall not be construed against the drafting party.

SECTION 18 - ARBITRATION

PLEASE READ THIS SECTION VERY CAREFULLY AS IT AFFECTS YOUR RIGHTS.

For users of our Services, this Agreement and any action related thereto will be governed by the Federal Arbitration Act, federal arbitration law, and the laws of the State of New York, without regard to its conflict of laws provisions.

  1. AGREEMENT TO ARBITRATE

    Arbitration is a dispute resolution mechanism that is more informal than a lawsuit in court, allows for more limited discovery than in court, and is subject to very limited review by courts. You agree that any and all disputes or claims that have arisen or may arise between you and Heraclea, whether arising out of or relating to this Terms of Service (including any alleged breach thereof), the Services, any advertising, any aspect of the relationship or transactions between us, shall be resolved exclusively through final and binding arbitration, rather than a court, in accordance with the terms of this Arbitration Agreement. You may elect to litigate your claim in small claims court provided that your claim satisfies the jurisdictional requirements and the amount at issue in your claim. Otherwise, you agree that, by entering into this Terms of Service, you and Heraclea are each waiving the right to a trial by jury or to participate as a plaintiff or class member in any purported class or representative action or proceeding. Your rights will be determined by a neutral arbitrator, not a judge or jury. The Federal Arbitration Act governs the interpretation and enforcement of this Arbitration Agreement.

    You may opt out of this arbitration clause entirely and litigate any claim you may have against us if you provide us with written notice of your intent to do so by email at people@heraclea.co within thirty (30) days of following the date you first agree to this Agreement.

    1. CLASS AND REPRESENTATIVE ACTIONS WAIVER

    You and Heraclea agree that each of us may bring claims against the other only on an individual basis and not as a plaintiff or class member in any purported class or representative action or proceeding. Unless both you and heraclea agree otherwise, the arbitrator may not consolidate or join more than one person’s or party’s claims and may not otherwise preside over any form of a consolidated, representative, or class proceeding. 

    1. DISPUTE RESOLUTION

    Heraclea believes that most customer concerns can be resolved informally and amicably to the customer’s satisfaction by contacting our customer support service at people@heraclea.co. If such efforts prove unsuccessful, a party who intends to seek arbitration must first send to the other, by certified mail, a written Notice of Dispute (“Notice”). The Notice to Heraclea should be sent to people@heraclea (“Notice Address”). The Notice must (i) describe the nature and basis of the claim or dispute and (ii) set forth the specific relief sought. If Heraclea and you do not resolve the claim within sixty (30) calendar days after the Notice is received, you or Heraclea may commence an arbitration proceeding. During the arbitration, the amount of any settlement offer made by Heraclea or you shall not be disclosed to the arbitrator until after the arbitrator determines the amount, if any, to which you or Heraclea is entitled.

    1. ARBITRATION PROCEDURES

    Arbitration will be conducted by a neutral arbitrator in accordance with the American Arbitration Association’s (“AAA”) rules and procedures, including the AAA’s Consumer Arbitration Rules (collectively, the “AAA Rules”), as modified by this Arbitration Agreement. For information on the AAA, please visit its website, http://www.adr.org.  Information about the AAA Rules and fees for consumer disputes can be found at the AAA’s consumer arbitration page, http://www.adr.org/consumer_arbitration. If there is any inconsistency between any term of the AAA Rules and any term of this Arbitration Agreement, the applicable terms of this Arbitration Agreement will control unless the arbitrator determines that the application of the inconsistent Arbitration Agreement terms would not result in a fundamentally fair arbitration. The arbitrator must also follow the provisions of these Terms of Service as a court would. All issues are for the arbitrator to decide, including, but not limited to, issues relating to the scope, enforceability, and arbitrability of this Arbitration Agreement. Although arbitration proceedings are usually simpler and more streamlined than trials and other judicial proceedings, the arbitrator can award the same damages and relief on an individual basis that a court can award to an individual under the Terms of Service and applicable law. Decisions by the arbitrator are enforceable in court and may be overturned by a court only for very limited reasons.

    Unless Heraclea and you agree otherwise, any arbitration hearings will take place in a reasonably convenient location for both parties with due consideration of their ability to travel and other pertinent circumstances. If the parties are unable to agree on a location, the determination shall be made by AAA. If your claim is for $10,000 or less, Heraclea agrees that you may choose whether the arbitration will be conducted solely on the basis of documents submitted to the arbitrator, through a telephonic hearing, or by an in-person hearing as established by the AAA Rules. If your claim exceeds $10,000, the right to a hearing will be determined by the AAA Rules. Regardless of the manner in which the arbitration is conducted, the arbitrator shall issue a reasoned written decision sufficient to explain the essential findings and conclusions on which the award is based.

    1. ARBITRATION FEES

    Payment of all filing, administration, and arbitrator fees (collectively, the “Arbitration Fees”) will be governed by the AAA Rules, unless otherwise provided in this Arbitration Agreement. If the value of the relief sought is $20,000 or less, at your request, Heraclea will pay all Arbitration Fees, UNLESS the arbitrator finds that either the substance of your claim or the relief sought was frivolous or was brought for an improper purpose as measured by the standards set forth in Federal Rule of Civil Procedure 11(b). If the value of relief sought is more than $20,000, AAA Rules will govern the payment of all AA fees, including filing, administration, and arbitrator fees, UNLESS you are able to demonstrate to the arbitrator that you are economically unable to pay your portion of the Arbitration Fees or if the arbitrator otherwise determines for any reason that you should not be required to pay your portion of the Arbitration Fees, in which case Heraclea will pay your portion of such fees. In addition, if you demonstrate to the arbitrator that the costs of arbitration will be prohibitive as compared to the costs of litigation, Heraclea will pay as much of the Arbitration Fees as the arbitrator deems necessary to prevent the arbitration from being cost-prohibitive. Any payment of attorneys’ fees will be governed by the AAA Rules.

    1. CONFIDENTIALITY

    All aspects of the arbitration proceeding, and any ruling, decision, or award by the arbitrator, will be strictly confidential for the benefit of all parties.

    1. SEVERABILITY

    If a court or the arbitrator decides that any term or provision of this Arbitration Agreement (other than the subsection (b) titled “Prohibition of Class and Representative Actions and Non-Individualized Relief” above) is invalid or unenforceable, the parties agree to replace such term or provision with a term or provision that is valid and enforceable and that comes closest to expressing the intention of the invalid or unenforceable term or provision, and this Arbitration Agreement shall be enforceable as so modified. If a court or the arbitrator decides that any of the provisions of subsection (b) above titled “Prohibition of Class and Representative Actions and Non-Individualized Relief” are invalid or unenforceable, then the entirety of this Arbitration Agreement shall be null and void, unless such provisions are deemed to be invalid or unenforceable solely with respect to claims for public injunctive relief. The remainder of the Terms of Service will continue to apply.

    1. MODIFICATIONS OF ARBITRATION SECTION

    Notwithstanding any provision in this Terms of Service to the contrary, Heraclea agrees that if it makes any future change to this Arbitration Agreement (other than a change to the Notice Address) while you are a user of the Services, and you have not otherwise affirmatively agreed to such changes, you may reject any such change by sending Heraclea written notice within thirty (30) calendar days of the change to the Notice Address provided above. By rejecting any future change, you agree that you will arbitrate any dispute between us in accordance with the language of this Arbitration Agreement as of the date you first accepted these Terms of Service (or accepted any subsequent changes to these Terms of Service).

    We reserve the right, at our sole discretion, to update, change or replace any part of these Terms of Service by posting updates and changes to our website. It is your responsibility to check our website periodically for changes. Your continued use of or access to our website or the Service following the posting of any changes to these Terms of Service constitutes acceptance of those changes.

    SECTION 21 - MISCELLANEOUS

    Orders

    At Heraclea, we work everyday to improve our Services and make sure our customers are satisfied. However, there may be times when we may not be able to serve you for a variety of reasons including, but not limited to, inventory issues, errors in order transmission, product descriptions or pricing information, or verification issues related to your payment method or information. In these situations, we will do our best to resolve them and fulfill your order at the earliest convenience. In case we can not resolve any such issues, Heraclea reserves the right to refuse or cancel any order for any reason. If we cancel your order after a payment has been made by you, we will refund any payment you have made to us for that order. 

    Returns and Exchanges

    We do not accept returns or exchanges on products. Due to the nature of our products, all orders are considered final sale. If you have any issues with your order, please contact us at people@heraclea to discuss how we can assist you.

    Intellectual Property Rights

    Content Ownership and Trademarks: You acknowledge and agree that the Service may contain content or features (“Service Content”) that are protected by copyright, patent, trademark, trade secret or other proprietary rights and laws. Heraclea name and logos are trademarks of Heraclea. Nothing in this Agreement is intended to be construed as granting in any way, implied or otherwise, any license or right to use Heraclea name and logos without express written permission of Heraclea.

    Heraclea only grants you a limited, non-exclusive, non-transferable license to access and view Service Content only in connection with your permitted use of the Services.

    Non-permitted use of the Services are strictly prohibited and include but are not limited to:

    • Use any Service Content or elements thereof, including Company name, trademark, logo, the layout and/or design of any page without Heraclea’s express written consent;
    • Modify, copy, frame, scrape, rent, lease, loan, sell, distribute or create derivative works based on the Service or the Service Content, in whole or in part.
    • Access or attempt to access areas of the Services that are not open to the public, including but not limited to Heraclea’s systems.
    • Attempt to decipher, decompile or reverse engineer any part or parts of the softwares used to provide the Services.
    • Engage or attempt to engage in data mining, scraping, or similar techniques to extract data or information that is not intended to be available to the public.
    • Engage, attempt to engage, encourage or enable any other individual or group, any activity on Heraclea’s website to violate any applicable law or regulation.

    Any rights not expressly granted herein are reserved by Heraclea.

    Third Party Websites or Resources

    The Services may provide to you third-party content including but not limited to links or other access to other resources. Heraclea has no control over, and does not endorse or adopt, such sites and resources and therefore is not responsible for the content provided by third parties. You acknowledge that Heraclea will not be responsible or liable for any damage or loss caused by or in connection with use of or reliance on any third party content for it may be misleading, incomplete, erroneous, offensive, or otherwise objectionable. You further acknowledge sole responsibility for and assume all risks associated with your use of any third party content and your interactions with such content.
